This License permits free non-commercial use while requiring commercial operators to enter into separate licensing agreements. By using, copying, modifying, or distributing the Licensed Work, You accept and agree to be bound by the terms of this License. If You do not agree to these terms, You must not use, copy, modify, or distribute the Licensed Work. ================================================================================ SECTION 1: DEFINITIONS ================================================================================ 1.1. "License" shall mean the terms and conditions for use, reproduction, modification, and distribution as defined by this document. 1.2. "Licensor" shall mean Blockchain Zoo Pte Ltd, a company incorporated in Singapore, and its ultimate beneficial owner, Roberto Capodieci, or any entity or individual authorized by the Licensor to grant licenses under this License. 1.3. "Licensed Work" shall mean the ZooBC blockchain software, including but not limited to the core node software, consensus mechanisms, transaction processing code, peer-to-peer networking code, cryptographic libraries, API implementations, and all associated documentation, configuration files, scripts, and tools made available under this License, as indicated by the copyright notice and license reference included in or attached to the work. 1.4. "Collateral Applications" shall mean all software applications developed by or for the Licensor that interact with, extend, or support the Licensed Work, including but not limited to: (a) Gateway services and TLS proxy applications; (b) Command-line tools and utilities; (c) Archival and block explorer applications; (d) Wallet applications; (e) Monitoring and diagnostic tools; (f) SDK libraries and development frameworks; (g) Any other applications distributed alongside or as part of the ZooBC software distribution. 1.5. "Derivative Work" shall mean any work, whether in Source or Object form, that is based on, derived from, incorporates, links to, or otherwise uses any portion of the Licensed Work, including but not limited to: (a) Modified versions of the Licensed Work; (b) Software that incorporates any source code from the Licensed Work; (c) Compiled binaries that include code from the Licensed Work; (d) Forks of the Licensed Work; (e) Plugins, modules, or extensions that interact directly with the internal APIs, data structures, or protocols of the Licensed Work at the node level (as opposed to external REST/RPC API calls). 1.6. "Integration Code" shall mean any software module, plugin, extension, library, or application that: (a) Directly interfaces with the internal mechanisms of the Licensed Work beyond public REST or RPC APIs; (b) Modifies, extends, or replaces any component of the Licensed Work; (c) Operates as a service within the same process space as the node; (d) Implements custom transaction types, consensus modifications, or protocol extensions; (e) Directly accesses or modifies the blockchain database or state. Integration Code shall be considered a Derivative Work and is subject to all terms of this License. 1.7. "Source Form" shall mean the preferred form for making modifications, including but not limited to software source code, documentation source, build scripts, and configuration files. 1.8. "Object Form" shall mean any form resulting from mechanical transformation or translation of Source Form, including but not limited to compiled object code, generated documentation, bytecode, and binary executables. 1.9. "You" (or "Your") shall mean an individual or Legal Entity exercising permissions granted by this License. 1.10. "Legal Entity" shall mean the union of the acting entity and all other entities that control, are controlled by, or are under common control with that entity. "Control" means (a) the power to direct the management of such entity, whether by contract or otherwise, or (b) ownership of fifty percent (50%) or more of the outstanding shares or beneficial ownership of such entity. 1.11. "Non-Commercial Use" shall mean use of the Licensed Work that does not involve, directly or indirectly: (a) Receiving monetary compensation, fees, or other valuable consideration in exchange for operating nodes, providing network services, or processing transactions; (b) Operating nodes on behalf of third parties in exchange for compensation; (c) Providing staking, validation, or block production services to third parties for a fee or share of rewards; (d) Offering hosted node services, RPC endpoints, or API access to third parties for compensation; (e) Operating a cryptocurrency exchange, trading platform, or custodial service that uses the Licensed Work; (f) Any activity intended to generate profit or commercial advantage from the operation of the Licensed Work. Non-Commercial Use explicitly INCLUDES: (i) Personal learning and experimentation; (ii) Academic research and education; (iii) Development and testing on private testnets; (iv) Contributing to the ZooBC open-source project; (v) Operating a personal node for individual use without third-party services; (vi) Non-profit community initiatives that do not generate revenue. 1.12. "Commercial Use" shall mean any use of the Licensed Work that does not qualify as Non-Commercial Use, including but not limited to: (a) Operating validator or blocksmith nodes that produce blocks and receive protocol rewards on any public network, where the operator manages assets belonging to third parties; (b) Providing staking-as-a-service or delegation services; (c) Operating RPC or API endpoints for third parties in exchange for payment; (d) Cryptocurrency exchanges integrating with ZooBC networks; (e) Custodial services holding ZooBC assets on behalf of clients; (f) Any blockchain-as-a-service offering using the Licensed Work; (g) Enterprise or institutional use of the Licensed Work in production environments. 1.13. "Network Deployment" shall mean the act of deploying and operating a public or semi-public blockchain network using the Licensed Work or any Derivative Work thereof, where the network: (a) Is accessible to third parties beyond the immediate development team; (b) Issues or manages tokens, coins, or other cryptographic assets; (c) Processes transactions for users other than the developer(s). 1.14. "Genesis Block" shall mean the first block of any blockchain network deployed using the Licensed Work or any Derivative Work. 1.15. "Tribute Account" shall mean the ZooBC account designated by the Licensor to receive tribute payments under the terms of this License: ZBC_T6NDZOTJ_47567SOU_2I4PRNKD_LRNXYJ63_GXQ2OTD4_FVZA4LQT_7Q7KOJ77 1.16. "Contribution" shall mean any work of authorship, including modifications or additions to the Licensed Work, that is intentionally submitted to the Licensor for inclusion in the Licensed Work. ================================================================================ SECTION 2: INTELLECTUAL PROPERTY OWNERSHIP ================================================================================ 2.1. OWNERSHIP. The Licensed Work, including all intellectual property rights therein, is and shall remain the sole and exclusive property of Blockchain Zoo Pte Ltd and its ultimate beneficial owner, Roberto Capodieci. This License does not transfer ownership of the Licensed Work to You. You acquire only the rights expressly granted under this License. 2.2. COPYRIGHT. The Licensed Work is protected by copyright laws of Singapore and international copyright treaties. Unauthorized use, reproduction, or distribution of the Licensed Work may result in civil and criminal penalties. 2.3. TRADEMARKS. "ZooBC", "Blockchain Zoo", and associated logos are trademarks of Blockchain Zoo Pte Ltd. Subject to the terms and conditions of this License, the Licensor hereby grants You a worldwide, royalty-free, non-exclusive, non-transferable license to: (a) Use the Licensed Work for Non-Commercial Use; (b) Copy and reproduce the Licensed Work for Non-Commercial Use; (c) Modify the Licensed Work and create Derivative Works for Non-Commercial Use; (d) Distribute the Licensed Work and Derivative Works for Non-Commercial Use, subject to the conditions in Section 5. 3.2. SOURCE CODE DISCLOSURE. If You create any Derivative Work of the Licensed Work, You MUST: (a) Make the complete Source Form of the Derivative Work publicly available under the terms of this License or a license approved in writing by the Licensor; (b) Provide the Source Form through a publicly accessible repository (such as GitHub, GitLab, or similar) or website; (c) Maintain the availability of the Source Form for as long as You distribute or operate the Derivative Work. 5.2. MANDATORY NOTIFICATION. LICENSE PROPAGATION. Any Derivative Work distributed by You must be distributed under the terms of this License. You may not apply additional restrictions that would prevent recipients from exercising the rights granted under this License for Non-Commercial Use. 5.5. INTEGRATION CODE. All Integration Code, as defined in Section 1.6, is subject to all requirements of this Section 5, regardless of whether such Integration Code is distributed separately from the Licensed Work. APPLICABILITY. This Section 6 applies to any Network Deployment using the Licensed Work or any Derivative Work thereof. 6.2. GENESIS BLOCK ATTRIBUTION. GENESIS BLOCK TRIBUTE. For Non-Commercial Network Deployments, the Genesis Block MUST allocate to the Tribute Account a minimum initial balance. The specific amount shall be determined by the Licensor and published at https://zoobc.com/license-terms.html. In the absence of a published amount, the default tribute shall be one percent (1%) of the total initial token supply created in the Genesis Block. 6.4. TRIBUTE TIMING. For networks that use a proof-of-stake or similar consensus mechanism with block rewards, the tribute allocation must be: (a) Present in the Genesis Block; OR (b) Accumulated and transferred to the Tribute Account within the first 10,000 blocks of the network's operation. 6.5. NETWORK REGISTRATION. Within thirty (30) days of launching any Network Deployment, You must notify the Licensor at code@blockchainzoo.com with: (a) Network name and description; (b) Public network endpoints or access information; (c) Genesis block hash and configuration; (d) Confirmation of tribute allocation; (e) Contact information for network operators. 6.6. PRIVATE AND CONSORTIUM NETWORKS. Network Deployments that are private, permissioned, or restricted to a consortium of known parties constitute Commercial Use and require a Commercial License under Section 4, regardless of whether fees are charged. ================================================================================ SECTION 7: PATENT RIGHTS ================================================================================ 7.1. Subject to the terms and conditions of this License, the Licensor grants You a perpetual, worldwide, non-exclusive, royalty-free, non-transferable patent license to make, have made, use, and import the Licensed Work, where such license applies only to those patent claims licensable by the Licensor that are necessarily infringed by the Licensed Work alone. 7.2. PATENT TERMINATION. If You institute patent litigation against any entity (including a cross-claim or counterclaim) alleging that the Licensed Work or any Contribution constitutes patent infringement, then any patent licenses granted to You under this License shall terminate immediately. ================================================================================ SECTION 8: DISCLAIMER OF WARRANTY ================================================================================ 8.1. AUTOMATIC TERMINATION. Your rights under this License will terminate automatically if You fail to comply with any term of this License. CURE PERIOD. If Your non-compliance is curable, You shall have thirty (30) days from discovery of the violation to cure the non-compliance. If cured within this period, Your license is reinstated. This cure period applies only to first violations; repeated violations result in immediate and permanent termination. 10.3. ENFORCEMENT. The Licensor reserves the right to enforce this License through all available legal remedies, including but not limited to: (a) Injunctive relief to stop unauthorized use; (b) Recovery of damages for copyright and license violations; (c) Recovery of attorney's fees and costs; (d) Specific performance of license terms. 10.4. AUDIT RIGHTS. The Licensor reserves the right to audit Your use of the Licensed Work to verify compliance with this License.
